## 1. Parties & Formation
### 1.1 The Company
These Terms are entered into between you ("User," "you," or "your") and **Digital Auction House LLC dba LKP** ("LKP," "Company," "we," "us," or "our"), a South Carolina limited liability company. LKP was founded by **Joshua Rivera** through **Digital Auction House LLC** ("DAH"), which serves as the parent development entity and holds all intellectual property rights in the LKP platform.
### 1.2 Agreement
By creating an account, accepting an invitation to the beta program, or accessing or using the LKP platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (Document LKP-PP-001), and any additional terms, guidelines, or rules referenced herein. These Terms constitute a legally binding agreement between you and the Company.
### 1.3 Capacity
By entering into these Terms, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into binding agreements
- If acting on behalf of a business entity, you have the authority to bind that entity to these Terms
- You are a licensed automotive locksmith, Vehicle Security Professional (VSP), or otherwise authorized by the Company to participate in the beta program

## 2. Definitions

| **Beta Program** | The invite-only testing period during which the Platform is made available to selected users for evaluation and feedback purposes |
| **Vehicle Fitment Data** | The structured database of Year/Make/Model-to-key relationships, including keyway, blade family, chip/transponder, frequency, Lishi profile, and immobilizer system mappings |
| **Supplier Pricing Data** | Real-time and historical pricing information from automotive locksmith supply distributors, presented through the Platform |
| **Content** | All text, data, graphics, images, software, audio, video, and other materials available through the Platform |
| **User Content** | Any content, data, or materials that you submit, upload, or transmit through the Platform, including feedback, search queries, and support communications |
| **Intellectual Property** | All patents, copyrights, trademarks, trade secrets, know-how, algorithms, database schemas, source code, object code, documentation, and other intellectual property rights |

## 3. Beta Program; Invite-Only Access
### 3.1 Beta Nature of the Platform
**The LKP Platform is currently in invite-only beta (version 0.1.0).** You acknowledge and agree that:
1. The Platform is a beta product that is still under active development
2. The Platform may contain bugs, errors, defects, and incomplete features
3. The Platform's features, functionality, and availability may change at any time without notice
4. Data presented through the Platform (including vehicle fitment data and supplier pricing) may be inaccurate, incomplete, or outdated
5. The Company makes no guarantee of Platform availability, uptime, or performance during the beta period
6. The beta period may be extended, shortened, or terminated at any time at the Company's sole discretion
### 3.2 Invitation Requirement
Access to the Platform is restricted to individuals who have received a personal invitation from the Company. Invitations are non-transferable. You may not share your invitation link, access credentials, or account with any other person. Unauthorized access or sharing of access will result in immediate account termination.
### 3.3 No Commercial Reliance
**You must not commercially rely on the Platform during the beta period.** Specifically:
- Do not use the Platform as your sole source of pricing for customer quotes
- Do not make purchasing decisions based solely on Platform data without independent verification
- Do not rely on Platform availability for time-sensitive business operations
- Do not represent to your customers that your pricing is "guaranteed" based on Platform data
The Platform is provided for evaluation and feedback purposes. While we strive for accuracy, beta data should be treated as a reference tool, not a definitive source.
### 3.4 Transition to Paid Subscription
The Company intends to transition the Platform from a free beta to a paid subscription model. You acknowledge and agree that:
- The Company will provide at least 30 days' advance notice before transitioning to paid subscriptions
- Your continued use of the Platform after the transition will require a paid subscription
- The Company will clearly disclose subscription pricing, terms, and cancellation procedures before requiring payment
- You are under no obligation to subscribe; your account will be deactivated if you choose not to subscribe
- The Company may offer different subscription tiers with varying features and pricing

## 4. Account Registration & Security
### 4.1 Account Creation
To access the Platform, you must create an account using the invitation link provided by the Company. During registration, you must provide accurate and complete information, including:
- A valid email address
- A strong password meeting the Platform's security requirements
- Multi-factor authentication (MFA) enrollment
### 4.2 Account Responsibility
You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account, whether or not authorized by you
- Promptly notifying the Company of any unauthorized use of your account or any other breach of security
- Ensuring that your MFA device is secure and accessible only to you
### 4.3 Multi-Factor Authentication (MFA)
**MFA is required for all accounts.** You must enroll in MFA during account creation and maintain active MFA enrollment throughout your use of the Platform. If you lose access to your MFA device, contact the Company for account recovery procedures.
### 4.4 Professional Verification
The Company may require you to provide evidence of your professional credentials, including but not limited to:
- State or local business license for locksmith services
- Proof of liability insurance
- Industry certifications (e.g., ALOA, SAVTA)
- Business registration documents
Failure to provide requested verification within 14 days of the request may result in account suspension or termination. Wholesale pricing features are available only to users who have completed professional verification.

## 5. License Grant & Restrictions
### 5.1 License to Use the Platform
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform during the beta period for your internal business purposes as an automotive locksmith or Vehicle Security Professional.
### 5.2 License Restrictions
You may not:
1. Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Platform or any part thereof
2. Sublicense, lease, rent, loan, sell, distribute, or otherwise transfer the Platform or access to the Platform to any third party
3. Remove, alter, or obscure any proprietary notices, labels, or marks on the Platform
4. Use the Platform to develop a competing product or service
5. Access the Platform for the purpose of benchmarking, competitive analysis, or building a similar or competitive product without the Company's prior written consent
6. Use the Platform in any manner that violates applicable law or these Terms
### 5.3 API Access
If the Company provides API access, such access is subject to these Terms and any additional API terms provided by the Company. API access is for your internal business use only and may not be used to build products or services for third parties.

## 6. Intellectual Property Rights
### 6.1 Company Ownership
The Company and its parent entity (Digital Auction House LLC) retain all right, title, and interest in and to:
1. **The Platform** — including all software, source code, object code, algorithms, databases, user interfaces, and documentation
2. **The Vehicle Fitment Database** — including all normalized Year/Make/Model mappings, keyway assignments, chip/transponder classifications, frequency mappings, Lishi profile associations, and the unique organizational structure and cross-referencing methodology of the database
3. **Database Indexes** — all indexes, schemas, taxonomies, and classification systems created by the Company for organizing vehicle fitment and supplier data
4. **Algorithms and Models** — all product matching algorithms, search ranking algorithms, price comparison logic, and AI/ML models used in the Platform
5. **Trademarks** — the LKP name, logo, and all associated brand elements
6. **Documentation** — all user guides, API documentation, technical specifications, and operational documentation
### 6.2 No Transfer of Rights
Nothing in these Terms transfers any intellectual property rights from the Company to you. Your use of the Platform does not grant you any ownership interest in the Platform, its data, or any associated intellectual property.
### 6.3 Third-Party Content
The Platform may display content from third-party sources (e.g., supplier product listings, pricing data). Such content remains the property of the respective third parties. The Company's presentation of third-party content does not imply endorsement, sponsorship, or affiliation.
### 6.4 Vehicle Fitment Database Protection
The Vehicle Fitment Database is a compilation work created through substantial investment of time, effort, and resources by the Company. While individual facts contained in the database may not be copyrightable, the selection, coordination, arrangement, and cross-referencing of those facts constitutes the Company's original copyrightable work under 17 U.S.C. § 103. You acknowledge that the database represents significant intellectual capital of the Company and agree not to extract, replicate, or commercially exploit the database or any substantial portion thereof.

## 7. Feedback License
### 7.1 Feedback Defined
"Feedback" means any suggestions, ideas, enhancement requests, recommendations, corrections, bug reports, or other feedback you provide about the Platform, whether submitted orally, in writing, electronically, or through any other means.
### 7.2 License Grant
By providing Feedback, you grant the Company a **perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, transferable license** to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit the Feedback in any form, medium, or technology now known or hereafter developed, for any purpose, without obligation, compensation, attribution, or accounting to you.
### 7.3 No Obligation
The Company is under no obligation to use, implement, or respond to any Feedback. The Company may use Feedback at its sole discretion, including to improve the Platform, develop new products, or for any other business purpose.
### 7.4 Representations
You represent and warrant that you have the right to provide Feedback and that the Feedback does not infringe the intellectual property rights of any third party.

## 8. Prohibited Conduct
### 8.1 General Prohibitions
You agree not to engage in any of the following activities:
1. **Unauthorized access:** Attempting to access areas of the Platform, servers, or systems that you are not authorized to access
2. **Interference:** Interfering with or disrupting the Platform, servers, or networks connected to the Platform
3. **Circumvention:** Attempting to circumvent any security, authentication, or access control measures
4. **Impersonation:** Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity
5. **Illegal use:** Using the Platform for any purpose that is illegal under applicable law
6. **Abuse:** Harassing, threatening, or intimidating other users or Company personnel
### 8.2 Data Extraction Prohibitions
**You expressly agree that you will NOT:**
1. **Scrape or crawl** the Vehicle Fitment Database or any other data accessible through the Platform using automated tools, bots, spiders, scrapers, or any other automated means
2. **Systematically extract** data from the Platform for the purpose of creating or populating a database, dataset, or collection outside the Platform
3. **Reverse engineer** the Vehicle Fitment Database, search algorithms, product matching algorithms, or any other proprietary algorithms or data structures used by the Platform
4. **Mirror or replicate** any portion of the Platform or its data on any other server, website, application, or service
5. **Use API access** (if provided) to bulk-download or systematically extract data beyond normal use patterns
### 8.3 Sharing & Disclosure Prohibitions
During the beta period, you agree not to:
1. **Share screenshots, recordings, or benchmarks** of the Platform with any person who is not an authorized beta participant, without the Company's prior written consent
2. **Publicly discuss** the Platform's features, performance, pricing data, or technical details in forums, social media, trade publications, or any other public medium, without the Company's prior written consent
3. **Provide access** to the Platform to any person who has not been individually invited and approved by the Company
4. **Disclose** any non-public information about the Platform's roadmap, upcoming features, or business plans that the Company has shared with you as a beta participant
### 8.4 Consequences
Violation of any prohibited conduct may result in:
- Immediate suspension or termination of your account
- Permanent ban from the Platform
- Legal action for damages, injunctive relief, or both
- Reporting to appropriate law enforcement authorities (if applicable)

## 9. Vehicle Fitment Data & Pricing Disclaimer
### 9.1 Accuracy Disclaimer
The Vehicle Fitment Data and Supplier Pricing Data presented through the Platform are provided for **informational and reference purposes only**. While the Company strives to maintain accurate and up-to-date information, **you acknowledge and agree that:**
1. Vehicle fitment data may contain errors, omissions, or inaccuracies
2. Keyway, chip, transponder, and frequency assignments may vary by vehicle production date, VIN range, or regional market
3. Supplier pricing data reflects observed prices at the time of collection and may not reflect current prices
4. Product availability data may be outdated
5. The Company does not guarantee that any specific key blank, transponder, or tool will work for any specific vehicle
6. **You are solely responsible for verifying fitment and pricing before making purchasing decisions or performing services for your customers**
### 9.2 No Professional Advice
The Platform does not provide professional automotive locksmith advice. The Platform is a data reference tool, not a substitute for professional knowledge, training, and experience. You should always use your professional judgment and verify critical information independently.
### 9.3 No Endorsement
The display of supplier products and pricing on the Platform does not constitute an endorsement, recommendation, or warranty of any supplier, product, or service. The Company is not a party to any transaction between you and a supplier.

## 10. Beta Disclaimer — AS IS
### 10.1 WARRANTY DISCLAIMER
**THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:**
1. **IMPLIED WARRANTIES OF MERCHANTABILITY** — The Company does not warrant that the Platform is fit for commercial sale or meets the quality expectations of a commercially released product
2. **IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE** — The Company does not warrant that the Platform will meet your specific requirements or achieve any particular results
3. **IMPLIED WARRANTIES OF NON-INFRINGEMENT** — The Company does not warrant that the Platform does not infringe the intellectual property rights of any third party
4. **WARRANTIES OF ACCURACY** — The Company does not warrant the accuracy, completeness, reliability, or timeliness of any data, content, or information provided through the Platform
5. **WARRANTIES OF AVAILABILITY** — The Company does not warrant that the Platform will be available, uninterrupted, secure, or error-free at any time
6. **WARRANTIES OF RESULTS** — The Company does not warrant that the results obtained from using the Platform will be accurate, reliable, or meet your expectations
### 10.2 Beta-Specific Acknowledgments
**YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT:**
1. The Platform is a beta product in active development and may contain material defects
2. Features may be added, changed, or removed without notice
3. Data may be lost, corrupted, or rendered inaccessible due to system updates, bugs, or outages
4. The Company may reset, migrate, or delete data during the beta period for testing or development purposes
5. The beta period may be terminated at any time without notice or liability
6. You assume all risks associated with the use of a beta product
### 10.3 Consumer Protection Savings Clause
To the extent that applicable law does not permit the disclaimers set forth above, such disclaimers shall be limited to the maximum extent permitted by applicable law. Nothing in these Terms is intended to limit any rights you may have under applicable consumer protection statutes that cannot be waived or limited by contract.

## 11. Limitation of Liability
### 11.1 EXCLUSION OF DAMAGES
**TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS PARENT ENTITY (DIGITAL AUCTION HOUSE LLC), FOUNDER, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:**
1. **INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES** — including but not limited to damages for loss of profits, goodwill, use, data, business opportunities, or other intangible losses
2. **DAMAGES ARISING FROM** — your use of or inability to use the Platform; any errors, inaccuracies, or omissions in the data or content provided through the Platform; unauthorized access to or alteration of your transmissions or data; any conduct of any third party on the Platform
3. **DAMAGES ARISING FROM BETA DEFECTS** — any bugs, errors, defects, outages, data loss, or other issues that arise from the beta nature of the Platform
**REGARDLESS OF THE THEORY OF LIABILITY** (whether contract, tort, negligence, strict liability, or any other legal or equitable theory), and **EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES**.
### 11.2 LIABILITY CAP
**TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:**
1. **THE TOTAL AMOUNT YOU HAVE PAID TO THE COMPANY** for access to the Platform during the twelve (12) months immediately preceding the event giving rise to the claim; or
2. **ONE HUNDRED U.S. DOLLARS ($100.00)**
### 11.3 Essential Basis of the Bargain
You acknowledge and agree that the limitations of liability and warranty disclaimers in these Terms form an essential basis of the bargain between you and the Company, and that the Company would not provide the Platform to you without these limitations. You understand that these limitations allocate the risks between you and the Company, and that the subscription pricing (when applicable) reflects this allocation of risk.
### 11.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the Company's liability shall be limited to the maximum extent permitted by applicable law.

## 12. Indemnification
### 12.1 Your Indemnification Obligations
You agree to **indemnify, defend, and hold harmless** the Company, its parent entity (Digital Auction House LLC), its officers, directors, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to:
1. Your use of the Platform
2. Your violation of these Terms
3. Your violation of any applicable law or regulation
4. Your violation of any third-party rights (including intellectual property rights)
5. Any content or data you submit through the Platform
6. Any claims by your customers or clients related to services you provided using information obtained from the Platform
7. Any misrepresentation by you regarding your professional credentials or eligibility for the beta program
### 12.2 Indemnification Procedure
The Company will:
1. Promptly notify you of any claim subject to indemnification (failure to notify does not relieve your obligations unless materially prejudiced)
2. Provide reasonable cooperation in the defense of the claim (at your expense)
3. Allow you to control the defense and settlement of the claim, provided that you do not settle any claim without the Company's prior written consent if the settlement imposes obligations on the Company or does not fully release the Company

## 13. Subscription & Payment Terms
### 13.1 Current Beta Period
During the beta period, access to the Platform is provided at no charge. The Company reserves the right to transition to paid subscriptions at any time with at least 30 days' advance notice.
### 13.2 Future Subscription Terms
When paid subscriptions are introduced:
1. **Pricing:** Subscription pricing will be clearly disclosed before you are asked to subscribe
2. **Billing:** Subscriptions will be billed through Stripe; the Company will never directly handle your payment card data
3. **Taxes:** Applicable sales and use taxes will be collected and remitted by the Company (see Privacy Policy, Section 9.1 regarding South Carolina SaaS tax treatment)
4. **Cancellation:** You may cancel your subscription at any time through the same medium you used to subscribe (Click-to-Cancel per 15 U.S.C. § 8401; see Privacy Policy, Section 8.2.3)
5. **Refunds:** Refund policy will be disclosed at the time of subscription launch
6. **Free trial:** If offered, the duration and terms of any free trial will be clearly disclosed before the trial begins, and you will not be charged without your express informed consent at the end of the trial period
### 13.3 Payment Processor
All payment processing is handled by **Stripe, Inc.** Your use of Stripe's payment services is subject to Stripe's terms of service and privacy policy. The Company does not store, process, or have access to your credit card number, bank account number, or other payment card data.

## 14. Data Privacy
### 14.1 Privacy Policy
Our collection, use, storage, and sharing of your personal information is governed by our Privacy & Data Protection Policy (Document LKP-PP-001), which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.
### 14.2 Key Privacy Commitments
- We do not sell your personal information
- We do not share your personal information for cross-context behavioral advertising
- We use Stripe for payment processing; we never see or store your payment card data
- You may request access to or correction of your personal data at any time (Data deletion is not supported per our indefinite retention policy)
- We implement reasonable technical and organizational security measures
### 14.3 Beta-Specific Data Practices
During the beta period:
- We may collect additional telemetry data to diagnose bugs and improve the Platform
- We may review search queries and usage patterns to improve search algorithms
- We may contact you for feedback, bug reports, or user research
- You may opt out of feedback requests at any time without affecting your access to the Platform

## 15. Term & Termination
### 15.1 Term
These Terms are effective as of the date you first access or use the Platform and continue until terminated by either party.
### 15.2 Termination by You
You may terminate these Terms at any time by:
1. Contacting the Company at support@locksmithkeypricer.com to request account deletion
2. Ceasing all use of the Platform
### 15.3 Termination by the Company
The Company may terminate these Terms and your access to the Platform at any time, with or without cause, with or without notice. Without limiting the foregoing, the Company may terminate your access immediately if:
1. You violate these Terms
2. You engage in prohibited conduct (Section 8)
3. You fail to provide requested professional verification within 14 days
4. Your professional credentials are revoked, suspended, or expire
5. The Company discontinues the Platform or the beta program
6. The Company determines, in its sole discretion, that continued access is not in the best interest of the Company or the beta program
### 15.4 Effects of Termination
Upon termination:
1. Your license to use the Platform immediately terminates
2. You must cease all use of the Platform
3. You must delete any Platform data, content, or materials in your possession (except for data you generated independently)
4. The Company may delete your account and associated data in accordance with the Privacy Policy
5. Termination does not relieve you of any obligations that accrued before termination

## 16. Governing Law & Jurisdiction
### 16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the **State of South Carolina**, without regard to its conflict of law principles.
### 16.2 Exclusive Jurisdiction
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in the **State of South Carolina**. You consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue in such courts, including any objection based on forum non conveniens.
### 16.3 Waiver of Jury Trial
**TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY HEREBY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.**

## 17. Dispute Resolution
### 17.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact the Company at support@locksmithkeypricer.com and attempt to resolve the dispute informally. The Company will attempt to resolve the dispute within 30 days of receipt of your notice.
### 17.2 Escalation
If informal resolution is not successful within 30 days, either party may pursue formal legal proceedings in accordance with Section 16.
### 17.3 Injunctive Relief

## 18. General Provisions
### 18.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior and contemporaneous agreements, proposals, and representations, whether written or oral.
### 18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent.
### 18.3 Waiver
The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the Company.
### 18.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without the Company's prior written consent. The Company may assign these Terms, in whole or in part, to any successor in interest (including through merger, acquisition, or sale of assets) without your consent.
### 18.5 Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond the Company's reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet outages, or supplier/vendor service disruptions.

All notices under these Terms shall be in writing and delivered to:

Notices are deemed delivered when sent via email (delivery receipt or confirmation of sending).
### 18.7 No Third-Party Beneficiaries
These Terms are for the sole benefit of the parties hereto and their permitted successors and assigns. Nothing in these Terms confers any rights on any third party, except that Digital Auction House LLC is an intended third-party beneficiary of the intellectual property and limitation of liability provisions.
### 18.8 Headings
The headings in these Terms are for convenience only and do not affect the interpretation of these Terms.
### 18.9 Electronic Acceptance
You acknowledge that by clicking "I Agree," creating an account, or accessing the Platform, you are entering into these Terms electronically. Your electronic acceptance has the same legal effect as a handwritten signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA).
